All Corporate Merger will have to be notified in writing to the General Direction of Domestic Commerce office’s or to the respective Province Direction office, within the thirty (30) calendar days following to its inscription in the Public Registry, in order to proceed to cancel the Licenses or Registries of the accessory corporations.
The request will have to contain the following information:
- Clear indication of the accessory corporations and the Principal Corporation or corporation in existence.
- The types and identification numbers of License or Registry of the accessory corporation and the Principal Corporation or corporation in existence.
- The activities operated by the accessory corporations and those that the principal corporation or the corporation in existence will pursuit.
- Power of attorney at law.
- Certificate of the Public Registry, referring to the inscription of the merger agreement.
- Original License or Commercial Registry of the accessory corporations and the principal corporation.
- Copy of the Notification done to the General Director of Income (Ministry of Economics and Finance) of the respective agreement.
